Terms of Service

These Terms of Service ("Terms") govern your use of "SimpleMemo" (also known as "Simple Memo - Captio-style," hereinafter the "Service") provided by Yurika Inc. ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. The Service

The Service is an iOS app that lets you write memos and email them to a recipient address you set. It also supports offline memo creation and "outbox" resend behavior when connectivity returns.

2. Features (No Functional Differences Between Plans)

Core features are the same on Free and Premium, including: creating memos, sending, history, pending/outbox management and resend, offline creation with online resend, language settings, recipient email setup and verification, subject/signature settings, and send sound.
The main difference between plans is the daily sending limit (Section 3).

3. Free Trial, Sending Limits, and Premium

  • Days 1 through 7: free trial period (unlimited sending)
  • From Day 8: Free plan is generally limited to 3 sends per day
  • Premium: disables the Free "3 sends/day" limit after Day 8, making sending effectively unlimited

Note: safety limits described in Section 4 may still apply.

4. Safety and Infrastructure Limits (All Plans)

To protect system stability and prevent abuse, we may apply limits to both Free and Premium plans, such as:

  • Short cooldown between consecutive sends (e.g., 1.5 seconds)
  • Server-side rate limits (e.g., per-device daily caps)

These limits may change without notice as needed for security and infrastructure protection.

5. Payments and Auto-Renewal (Subscriptions)

Subscriptions are processed through Apple's In-App Purchase system and governed by Apple's terms. You can manage or cancel auto-renewal in your iOS account settings.

6. Prohibited Use

You must not:

  • Violate any laws or public order
  • Send spam, unsolicited emails, or impersonate others
  • Interfere with or place excessive load on the Service (e.g., mass sending)
  • Infringe the rights of us or any third party
  • Engage in any other conduct we deem inappropriate

7. No Guarantee of Delivery

We do not guarantee email delivery or timeliness. Delays or failures may occur due to network conditions, recipient mail server restrictions, spam filters, Apple/OS restrictions, or other factors.

8. Intellectual Property

All copyrights, trademarks, and other intellectual property rights related to the Service belong to us or our rightful licensors.

9. Changes and Suspension of Service

We may modify, add to, suspend, or discontinue the Service at any time without prior notice.

10. Changes to Terms

We may update these Terms as necessary. Updated Terms become effective when posted on the Service or our website.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any disputes arising in connection with the Service.
